Preston have agreed a fee of £350,000 for Gillingham's Patrick Agyemang but failed with a £300,000 offer for Rotherham winger Chris Sedgwick.
Agyemang joined Gillingham from MK Dons
"We have agreed a fee for Patrick Agyemang and are in discussions with the agent and the player," PNE chairman Derek Shaw told the club's website.
The 24-year-old joined Gillingham from MK Dons in January for £150,000.
But the Millers have turned Preston's offer for Sedgwick, who has been at Rotherham since 1997.
"First of all Stoke came in for Sedgy with £250,000, then it was Nottingham Forest with a derisory £50,000 and now it's Preston.
"But chairman Mr Booth has turned the offer for Chris Sedgwick down and I'm grateful for the that."
Gillingham chairman Paul Scally said it was with regret that the club has agreed to sell Agyemang.
"I would like to wish Patrick every success with his new club," he told the Gills website.
"In his short time at the club he showed potential and given a better financial climate we would have preferred to see him stay develop."
