Notts County executive chairman Peter Trembling says the club will not now face a winding-up petition issued by the High Court.
The petition related to a six-figure debt accrued before Munto Finance took control of the Meadow Lane club.
Trembling said: "The club has resolved its dispute with HMRC and HMRC is not proceeding with its application for winding-up."
The petition was served against the club's UK parent company Blenheim 1862.
Trembling added: "There are residual legal formalities as a consequence of the petition but I am pleased to say that the club's business carries on as usual."
