Dundee will announce on Wednesday that the club is free of debt, just three years after being £23m in the red.
Jimmy and Peter Marr are to take on the remainder of the club's debt
The current debt of £7m will be taken on by Peter and Jimmy Marr personally.
A major restructuring plan will lead to Dens Park being transferred to the hands of a property company and leased back to the club over a 40-year period.
Peter Marr remains on the board, though he will stand down as chief executive, while Jimmy Marr will leave the board with immediate effect.
One of the first tasks taken on by the new board will be the appointment of a new manager, with Jocky Scott understood to be the favourite.
