A £190m development plan for Chatham dockyard will see houses, shops and services being built on 27 acres of the heritage site.
The proposals, agreed by the dockyard trust, developers, and the South East England Development Agency (Seeda), still need Medway Council's approval.
Bill Ferris, Chatham Historic Dockyard Trust chief executive, said it would ensure the dockyard's long-term future.
He said the trust had been working for five years to find the right solution.
"The agreement we have entered into with City Loft Developments sees major investment in our heritage assets," he said.
"It's one which creates a sustainable development, enhances the environment, and ensures the long-term future of the historic dockyard and its surroundings."
Seeda project director Jonathan Sadler said there had been three years of "careful planning" to ensure site opportunities were maximised, but the "historical integrity" of the dockyard was retained.
Developers have said the 27-acre site will be an "interface" between the redeveloped Chatham Maritime site to the north, and the dockyard site to the south.
The mixed-used scheme is set to combine 21st Century and historic styles, and some of the homes built will be affordable housing.
The firm said that the parts of the dockyard being developed were "the vacant areas around the master pond, land by the police house, and waterfront land adjacent to the slips".
Stuart Wright, chief executive of the development firm, City Lofts Group, said his company would be working closely with Seeda, the dockyard trust, Medway Council, and English Heritage.
He said: "We will be working to deliver a scheme which develops under-utilised areas of land and brings existing structures back into use, helping to protect them for the future."
Consultation and a three-day exhibition on the development are planned for this autumn, and planning applications are due to be submitted later this year.
